In accordance with Article 63, Section II of Mexico’s Securities Market Law, CBFIs entitle their Holders the right to a portion of the revenue, yields and, if applicable, the residual value of the assets or rights attached to the Trust for such purpose, and therefore confer the right to receive Cash Distributions from the Trust Estate, to the extent that the latter is sufficient for such purposes. As of December 31, 2021, 70.9% of the outstanding CBFIs are held by Fibra Plus (FPLUS16), as a result of the tender offer, representing the percentage of investors who accepted the exchange of Fibra HD’s CBFIs for Fibra Plus’ CBFIs, at a final exchange factor of 2.5x (FibraHD’s CBFIs for each Fibra Plus’ CBFI). Another major holder with a stake of more than 10% is Grupo Profuturo, S.A.B. de CV. The remaining outstanding CBFIs are held by the investing public.
